Terms of Service
Last updated: October 23, 2025
These Terms of Service (“Terms”) apply to any Order Form between Sports Content Playbook LLC (“SCP”) and the entity that executes the Order Form (“Customer”). SCP’s Privacy Policy, Cookie Policy, Service Level Agreement (SLA), and Data Processing Addendum (DPA) are incorporated by reference into each Order Form. All Order Forms together with these Terms constitute the “Agreement”.
1. Order Form
1.1 During the term of the Agreement, SCP may provide access to the platform and/or services as set out in an Order Form. Each Order Form describes the services, modules and/or products (collectively, the “Product”) and the applicable Fees. In case of conflict, the Order Form prevails. Without an executed Order Form, SCP has no obligation to provide access or services.
1.2 An Order Form may include a Statement of Work (SOW) describing implementation activities and deliverables.
2. Product Access Terms
2.1 Customer’s subscription entitles access to the modules, roles, users, storage and consumption limits specified in the Order Form.
2.2 These Terms govern use of the Product by Customer and any User who accesses the Product through Customer’s account.
2.3 Each User has unique, non-transferable credentials. Login sharing is prohibited. One account = one natural person.
2.4 Access is conditioned upon compliance with these Terms and the Acceptable Use Policy.
2.5 Customer may provision Users for employees, contractors, affiliates, and (where applicable) Customer’s own clients. Customer is responsible for all use by its Users and for Customer Data (Section 4).
2.6 Access requires timely payment of the Subscription Fee.
2.7 The Product is designed to host and work with brand assets, marketing content, and curated libraries of sports content ideas and references.
2.8 Customer may use the Product and any content it generates or configures within the Product for its own business purposes, subject to this Agreement.
2.9 On breach of this Section 2, SCP may—after a reasonable cure period—suspend or terminate access.
2.10 Purchases or plan upgrades made by authorized Users constitute valid orders. Billing starts when the service is made available.
3. Intellectual Property
3.1 Customer retains all rights in Customer Data uploaded, generated, or stored in the Product and bears sole responsibility for it. Customer grants SCP a limited license to access, use, and modify Customer Data only as necessary to provide the Product.
3.2 SCP retains all right, title, and interest in and to the Product and related documentation. SCP owns the source code. SCP grants Customer the usage rights necessary under these Terms.
3.3 Except as expressly stated, no other rights or implied licenses are granted.
4. Customer Data
4.1 “Customer Data” means data, text, documents, images, videos, and other materials uploaded, generated, or stored in the Product by Customer or its Users.
4.2 Customer is solely responsible for Customer Data. SCP is not liable for third-party content uploaded by Customer or others, nor for Customer’s use thereof.
4.3 Customer warrants that: (a) it owns or has sufficient rights to Customer Data; (b) its use does not infringe third-party rights or applicable laws; (c) it does not promote illegal activity; (d) it is not threatening, defamatory, deceptive, or fraudulent. Upon notice of infringement, SCP may suspend the account and take appropriate measures.
4.4 SCP will access Customer Data only: (a) with Customer’s consent or request; (b) as required by law; (c) to protect SCP’s or third-party rights and property; or (d) as reasonably necessary to provide the Product.
5. Acceptable Use Policy
5.1 Prohibited activities include: (a) reverse engineering, decompiling, or creating derivative works; (b) security testing without prior written authorization; (c) accessing the Product via non-SCP interfaces (e.g., scraping, bots) except through documented APIs; (d) transmitting falsified origin information; (e) overloading, interfering with, or denying service; (f) uploading illegal content, rights-infringing content, or personal data of third parties without a lawful basis.
6. SCP Responsibilities
6.1 SCP will perform as per the applicable SOW and provide support per the SLA: https://sportscontentplaybook.com/sla.
6.2 Roadmaps, mockups, demos, catalogs, or similar materials are estimates and do not create binding performance obligations unless expressly set in the SOW.
7. Customer Responsibilities
7.1 Ensure access and usage comply with Section 2 and the Acceptable Use Policy.
7.2 Do not redistribute internal documentation to non-Users.
7.3 Cooperate on implementation and maintenance (e.g., provide specs, brand assets, API keys/tokens, identity settings).
7.4 Customer warrants the accuracy and completeness of Specifications it provides.
7.5 Failure to provide Specifications on time may trigger a Work Pause. If unresolved for 90 days, SCP may terminate for cause.
8. Third-Party Integrations & API
8.1 A modern web browser and internet connection are required. The Product may interoperate via API with third-party tools (e.g., social platforms, analytics, DAM, CRM). Use of the Product does not require third-party integrations.
8.2 If Customer enables third-party products/services, the third party’s terms and policies apply. SCP does not guarantee availability or support for third parties and is not liable for damages arising from such integrations.
8.3 SCP integration support (where included in the Order Form/SOW): (i) maintaining SCP webhooks per documentation; (ii) diagnosing webhook operation; (iii) correcting deviations from SCP’s webhook documentation.
9. Embedded Components
9.1 The Product displays “Embedded Components”, which are third-party elements (e.g., social media posts, video players, or SDKs) that originate from publicly available sources such as social networks or club profiles.
9.2 All intellectual property rights in Embedded Components remain with the original rights holders. SCP does not claim ownership of, nor grant any rights to, such Embedded Components.
9.3 SCP is not responsible for the availability, accuracy, legality, or continued accessibility of Embedded Components. If a third party removes or restricts access to such content, it may no longer appear within the Product.
9.4 SCP may replace or remove Embedded Components at any time if required for technical, legal, or business reasons, provided that such changes do not materially degrade the overall functionality of the Product.
9.5 Customers must ensure that their use of Embedded Components complies with the applicable terms of the relevant third-party platforms.
9.6 No Endorsement. The display of Embedded Components does not imply any endorsement, partnership, or affiliation between SCP and the third-party rights holders.
9.7 Service Limitations. Embedded Components may be subject to technical limitations, rate limits, or restrictions imposed by third-party providers. SCP cannot guarantee their uninterrupted availability or performance.
9.8 Platform Terms. Customers acknowledge that their use of Embedded Components remains subject to the applicable terms and conditions of the third-party platforms (e.g., Meta, Google, TikTok).
9.9 Data Collection. SCP does not collect or process personal data from Embedded Components beyond what is technically necessary for displaying them, in line with SCP’s Privacy Policy.
9.10 Security & Updates. SCP will take reasonable measures to maintain secure integrations with Embedded Components but cannot guarantee that such components are free of errors, vulnerabilities, or future changes made by third parties.
10. Data Protection & Processing
10.1 SCP complies with its Privacy Policy: https://sportscontentplaybook.com/privacy-policy/. Typical legal bases include legitimate interest to provide and improve the service and contract performance.
10.2 Where SCP processes personal data on Customer’s behalf, SCP acts as Processor and Customer as Controller. Processing is governed by SCP’s DPA: https://sportscontentplaybook.com/dpa
11. Service Analytics
11.1 SCP may collect usage data and metrics to improve the Product (e.g., feature adoption, performance). Processing relies on legitimate interest and complies with applicable law.
12. Pricing, Payment, and Refunds
12.1 Unless stated otherwise, Fees are in EUR.
12.2 Fees are exclusive of VAT and other taxes/fees. Each party pays taxes assessed to it. Customer must pay invoices in full irrespective of withholdings.
12.3 Payment terms: 30 calendar days from invoice receipt (deemed received if sent to the email on the Order Form).
12.4 If Customer uses POs, it must issue them upon execution, renewals, and add-ons. Lack of a PO does not relieve payment obligations. Customer PO terms do not apply.
12.5 Late payments accrue interest at 2% per month (or the maximum lawful rate, if lower) on undisputed overdue amounts.
12.6 SCP may assign receivables for collection.
12.7 After 5 business days’ prior written notice, SCP may suspend access for non-payment.
12.8 Unless expressly stated otherwise, payments are non-cancellable and non-refundable.
13. Billing Disputes
13.1 Customer must notify SCP of any invoice dispute within 20 calendar days of receipt, detailing the reasons. Undisputed amounts must be paid.
13.2 Disputes regarding charges or performance are handled per Section 20.
14. Confidentiality
14.1 “Confidential Information” includes non-public information about the Agreement, financials, business plans, software, documentation, designs, ideas, formats, and any copies/tangible embodiments.
14.2 The receiving party will: (a) use Confidential Information solely to perform the Agreement; (b) protect it with reasonable measures; (c) not disclose to third parties; (d) share only with personnel/affiliates who need to know and are bound by equivalent confidentiality obligations.
14.3 Exceptions: information that becomes public without breach, was previously known, is disclosed lawfully by a third party, or is independently developed. Legally compelled disclosures must be limited to the minimum necessary and seek protective treatment.
15. Publicity
15.1 Unless objected to in writing, each party may use the other party’s name and logo for marketing (client lists, case studies).
16. Warranties
16.1 SCP warrants it has authority to enter the Agreement and will comply with applicable laws.
16.2 Customer warrants authority, legal compliance, and use in accordance with the Terms.
16.3 DISCLAIMER. Except as stated, the Product is provided “as is.” SCP does not warrant: (a) uninterrupted or error-free operation; (b) performance in every environment; (c) correction of all defects; (d) fitness for Customer’s particular purposes.
17. Indemnification
17.1 SCP will indemnify Customer for third-party IP infringement claims attributable to the Product as delivered and used per the Agreement.
17.2 Customer will indemnify SCP for claims arising from Customer’s breach, or Customer/Users’ use infringing third-party rights or data protection laws.
17.3 Conditions: prompt notice (≤30 days), control of defense by the indemnifying party, reasonable cooperation, and mitigation.
17.4 This Section provides the exclusive remedy for such claims.
18. Limitation of Liability
18.1 Nothing limits liability for: (a) death or personal injury; (b) willful misconduct or gross negligence; or obligations under Section 17.
18.2 Cap. Aggregate liability of either party shall not exceed the Fees paid by Customer to SCP in the 12 months preceding the event giving rise to the claim.
18.3 Indirect damages. Neither party is liable for indirect, special, incidental, consequential, punitive damages, loss of profits/revenue, or cover.
18.4 If an injunction for IP infringement is issued and not dismissed within 30 days, SCP may: (a) obtain a right for continued use; (b) replace/modify the Product; or (c) refund the pro-rata portion of prepaid Fees.
18.5 SCP is not liable for general internet outages or for changes in laws or third-party platform APIs (e.g., social networks) that limit functionality. SCP may adapt or limit the service to comply with law.
19. Term and Termination
19.1 Each Order Form is effective on the Effective Date and continues for the Term specified.
19.2 Upon expiry of the initial term, the Agreement auto-renews for 12-month periods unless either party gives 90 days’ prior written notice of non-renewal.
19.3 Either party may terminate for cause upon written notice for: (a) insolvency/bankruptcy; (b) uncured material breach after 30 days; (c) violation of the Acceptable Use Policy.
19.4 If Customer terminates for SCP’s cause, SCP will refund prepaid Fees pro-rata from the date of the cause.
19.5 If SCP terminates for Customer’s cause, no refunds apply.
19.6 Upon termination, access ceases. All unpaid amounts become immediately due. Payment obligations survive.
19.7 Within 90 days of termination, Customer may request export of Customer Data in a common format. Time & materials fees apply unless Customer terminated for SCP’s cause.
19.8 Absent a request under 19.7, Customer Data is deleted after 180 days, except backups or where retention is legally required.
19.9 Provisions that by nature should survive will survive termination.
20. Governing Law and Venue
20.1 This Agreement is governed by the laws of Spain.
20.2 Before litigation, parties will hold a good-faith negotiation session within 30 days of notice of dispute.
20.3 If unresolved, the parties submit to the courts of Barcelona, Spain, waiving any other forum that might apply.
20.4 Either party may seek injunctive or equitable relief before a competent court.
21. General
21.1 Notices. Sent to the addresses/emails in the Order Form. Effective upon personal/courier delivery; next-day by reputable overnight service; or one business day by email (absent bounce).
21.2 Entire Agreement. The Agreement (including Privacy Policy, Cookie Policy, SLA, DPA, and Order Forms) supersedes prior proposals and understandings.
21.3 Changes. Amendments must be in writing. Failure to enforce is not a waiver.
21.4 Severability. Unenforceable provisions will be interpreted to reflect the original intent; the remainder stays in effect.
21.5 Assignment. Neither party may assign without prior written consent, except assignment to affiliates in a reorganization without impairing the other party’s rights. SCP may assign rights to payment without consent.
21.6 Force Majeure. No liability for failures caused by events beyond reasonable control (e.g., cloud infrastructure crises, sudden legal changes, natural disasters). If lasting >30 days, the other party may terminate upon notice.
21.7 Relationship. No partnership, joint venture, or agency is created.
21.8 Updates to Terms. SCP may update these Terms; the current version will be available at https://sportscontentplaybook.com/terms-of-service/ If a change is material, SCP will notify Customer. 21.9 Order of Precedence. Inconsistencies are resolved in this order: (i) Order Form; (ii) these Terms; (iii) Acceptable Use Policy / SLA; (iv) DPA; (v) other documents.
21.10 Third-Party Beneficiaries. No third party has rights under this Agreement.
